MACRO
- The CMA proposed rewiring how Saudi companies go public.
Three changes sit at the core of draft provisions targeting the gap between the demand a company appears to attract at IPO and the demand that shows up once it trades. The underwriting agreement would have to be signed and in force before book building begins, with the bank obligated from that moment to buy any shares investors don't take, up to the entire offering — turning banks into genuine backstops rather than facilitators of demand. Financial advisors and any capital market institution taking orders would have to verify each large bid is backed by actual available liquidity, orders would become binding by the subscription payment deadline, and issuers would disclose at least a year of forward-looking statements and forecasts. The draft opened for consultation on 22 September for 30 days and would take effect 2 November. It lands in the weakest year for Saudi issuance in years: three companies have listed in 2026, raising SAR 522.6 mn against SAR 13.27 bn from 25 companies over the same months of 2025, and only four of the 17 main-market listings since the start of 2025 trade above their issue price. - Aramco is splitting off its gas business into a standalone division as it explores a minority float.
The state oil giant is reorganising to carve gas out of its upstream and downstream businesses and give the new unit its own president, creating a dedicated platform to develop domestic gas, expand overseas LNG and explore capital-raising options including further lease-and-leaseback agreements, Reuters reports citing two people familiar with the plans. A standalone division would give Aramco a ring-fenced asset it can open to outside investors without exposing its core upstream oil business, a model Gulf national oil companies have used repeatedly — Adnoc has listed minority stakes in its gas, drilling and retail-fuel arms. Aramco has already run the playbook at Jafurah, where a BlackRock GIP-led consortium invested USD 11 bn in gas-processing infrastructure through a lease-and-leaseback, with Aramco retaining 51% of Jafurah Midstream Gas Company and leasing the assets back for 20 years. Jafurah began operating last year and is potentially the largest unconventional gas field outside the US, holding an estimated 230 tcf. (Reuters)
- International banks warned they will invest elsewhere if the UK raises taxes on the sector.
Fourteen foreign banks with large UK footprints and a combined 35,000 staff in the country said London is no longer their automatic pick for a European base as it was before Brexit, and that heavier tax and tighter visa rules would make them rethink their UK presence, according to a UK Finance survey reported by the Financial Times. Lenders are bracing for a possible windfall levy in next month's budget as Chancellor John Healey hunts for revenue to cover the rising cost of government debt since the Iran war began, with Britain's four largest high-street lenders booking GBP 13 bn in combined pre-tax income in 1H 2026, up 16% year on year. PwC analysis commissioned by UK Finance puts the total tax take on London's corporate and investment banks at 46.5% of income, ahead of Amsterdam at 42%, Dublin at 29% and New York at 28%. The Gulf remains a draw for relocating capital, with Millennium Management and Rokos Capital among those setting up in the UAE, though Turkey's new expat tax breaks, Hong Kong's widening carried-interest exemption and Greece's flat-tax regime are broadening the field of rivals. (Financial Times)
- The CBE kept rates on hold and revised its inflation forecast down.
The Monetary Policy Committee held the overnight deposit rate at 19%, the overnight lending rate at 20% and the main operations rate at 19.5% at Thursday's meeting. It said growth decelerated in 2Q26 on the adverse impact of regional tensions while inflation eased in August, and that the latest inflation dynamics were more favourable than expected, prompting a downward revision to its forecasts relative to the August meeting. Without giving a figure, the committee said it expects inflation to stabilise on average in 3Q26 before gradually decelerating and converging towards its 7% (+/- 2%) target in 2H27. The decision was in line with market expectations, with slower growth and a positive inflation trajectory balanced against elevated geopolitical risk and oil prices. Rates look set to stay on hold through year-end despite an expected fuel price hike in the coming weeks, since recent disinflation and favourable base effects should keep inflation within the 14-15% range; escalation of the conflict, an ensuing oil rally or pressure on the pound are the key risks to that view. M&As
- MAIR Group is acquiring 70% of Espressolab's parent in its first international deal.
The Abu Dhabi-listed group signed a share purchase agreement for 70% of the issued capital of Eslab, owner of the Turkish specialty coffee brand, in its first international acquisition since listing on the Abu Dhabi Securities Exchange at the end of 2024. Eslab's founders and existing shareholders retain 30% and will continue developing the business through its next growth phase, with completion subject to customary conditions including regulatory approvals. Espressolab, founded in 2014, had more than 400 coffee shops across 21 countries by August 2026, including over 310 in more than 50 Turkish cities, and its activities span brand management, franchising, coffee supply and roasting, product supply, retail and digital platforms. MAIR is an Abu Dhabi-based strategic investment group focused on food, trade and retail, with holdings including Abu Dhabi Co-operative Society and the Makani Properties commercial portfolio — more than 70 malls and community shopping centres including Al Ain Mall, with 89% occupancy and around 475,000 sqm of gross leasable area. Managing director and CEO Nahyan Hamad Al Ameri said the deal takes the group's strategy beyond its core retail and commercial real estate business into a global brand with a flexible franchise-led growth model. (Al Nahar)
- Genel Energy outbid DNO with a USD 436 mn offer for Capricorn, eyeing its Egypt assets.
Britain's Genel raised its cash offer on Friday, potentially ending a months-long bidding war that has seen Capricorn's board switch allegiances twice. Capricorn has become a prized target for energy firms seeking a foothold in Egypt's upstream sector, with its Western Desert assets drawing competing bids weeks apart: Genel won board backing with a USD 360 mn bid in July before DNO gate-crashed with USD 396 mn earlier this month. Under the revised terms, shareholders receive about USD 5.74 apiece, comprising USD 4.75 in cash and a USD 0.99 special dividend, a 10% premium to DNO's offer. Capricorn's board withdrew its recommendation for DNO and now backs Genel, saying it provides superior value, certainty and deliverability. Genel has secured commitments from key shareholders including Palliser Capital, Newtyn Management, Kite Lake Capital and Madison Avenue Partners, locking up about 39.1% of issued share capital. (Reuters)
- Japan's SMBC is in advanced talks to raise its stake in Vietnam's VPBank.
The banking arm of Sumitomo Mitsui Financial Group is discussing lifting its holding to roughly 20% from 15%, four people familiar with the negotiations said, after acquiring the original stake in 2023 in a USD 1.5 bn deal. Both sides intend to close this year but remain at odds over valuation, with VPBank seeking a substantial premium in line with 2023, when SMBC paid about 40% above market value, while SMBC has internally discussed buying on the open market rather than through a private placement. At current prices a 5% stake would be worth about USD 425 mn. An expanded holding would deepen SMBC's exposure to one of Asia's fastest-growing banking markets, with easier access to Vietnamese customers in insurance and credit, as Vietnam targets annual growth of at least 10% through 2030 and its market moves to emerging-market status under FTSE Russell. Foreign ownership of Vietnamese banks is generally capped at 30%, with a single foreign investor and its affiliates typically limited to 20%. (Reuters)
- Oman and Emirates Investment Holding withdrew its potential acquisition in Vision Investment Services.
The Muscat-listed investment company has backed out of a possible acquisition in fellow listed firm Vision Investment Services (Vincorp), according to separate statements from both companies on Sunday. The proposed deal was announced in August without detail as it was at an early stage. The board's statement gave no reason for the reversal, and Vincorp said only that it had received a letter withdrawing the preliminary offer for its shares. Oman and Emirates Investment currently owns 51.2% of Vincorp. Founded in 2003, Vincorp works in investment and brokerage and provides wealth management, advisory and asset management services, while Oman and Emirates Investment was established in 1993, listed in Muscat in 2002, and operates through subsidiaries in project development, portfolio and fund management, and brokerage. - Al Yamama won the infrastructure contract for Humain's 6 GW Riyadh AI campus.
The Dammam-based contractor secured the enabling works for the PIF-owned AI firm's planned hyperscale data centre campus, tendered in May. Its scope covers the backbone: a power distribution network at 380 kV, 132 kV and 33 kV, two substations of 500 MVA and 200 MVA and a 2,000 MVA bulk supply point, alongside water and fire systems, a sewage treatment plant, stormwater drainage, roads and underground cable and fibre. Humain is running the job on an early contractor involvement basis. The campus will sit on a 24 sq km site in east Riyadh's Al Saad area, built in two phases across six plots of 1 GW each, making it the largest of several Humain sites now taking shape alongside the Oxagon build with DataVolt, an AMD and Cisco project scaling toward 1 GW by 2030, and a Riyadh project with MIS growing to 250 MW. (Meed)
- PIF is weighing its first mandate to Pimco, targeting Gulf bonds.
The sovereign wealth fund is considering an initial USD 500 mn allocation to Pacific Investment Management Co. to buy mainly Gulf government debt, Bloomberg reports citing people familiar with the matter. It would be PIF's first time handing money to the firm, which already runs money for SAMA, the Abu Dhabi Investment Authority and the Kuwaiti and Qatari wealth funds, and has lent billions to state-backed regional borrowers through private placements since the war began. PIF would be buying into a market that has cheapened sharply: investors now demand 121 bps more in yield to hold Gulf government debt than before the war, with Qatar down 5.7%, the UAE 4.3% and Saudi 3.5%. The move would also fill a gap in a portfolio that leans on equities, private investments and Saudi development assets and carries less fixed income than peers. The plan is at an early stage with no decision made. (Bloomberg)
- Egypt is restructuring its sovereign fund's role to attract private investment.
The government is developing a new operating model for The Sovereign Fund of Egypt and its subsidiary funds to expand private-sector partnerships and mobilise investment in priority sectors, Investment and Foreign Trade Minister Mohamed Farid said. The funds could take minority stakes of 10-20% in select investments to reduce entry risks and encourage private investors to participate, with Farid stressing their role is to support and attract private capital rather than manage projects on behalf of the private sector. The Industrial Investment Fund has completed its establishment procedures and is finalising its board, with three to four investment opportunities under review. On broader strategy, the minister said the government is shifting from broad investment promotion to targeted outreach based on priority sectors, and is preparing to announce an FDI strategy identifying around 16 priority sectors. - Cherry Trading won a vehicle rental project from Saudi Arabia's Ministry of Culture.
The contract value exceeds 5% of the company's 2025 revenue and runs for 36 months from the signing date, expected on 11 October 2026, with no related parties involved. The award is a positive development though the annual revenue contribution looks modest: spread evenly over three years, the disclosed value implies around 1.7% of 2025 revenue a year. Neither the number nor the types of vehicles were disclosed. (Company disclosure)
GEOPOLITICAL
- Ship-to-ship transfers in the Gulf of Oman hit their limit as Saudi exports surged.
Transfers of Middle Eastern oil from inside the Strait of Hormuz reached capacity after Saudi Arabia diverted exports from the Red Sea, adding to shipments from other producers, trade sources and analysts said. The rising volume requires more supertankers to shuttle crude through Hormuz for transfers, reducing ship availability, raising shipping costs and lengthening the time cargoes spend on the water before reaching refineries. Saudi Arabia has sold more than 60 mn barrels for ship-to-ship transfer off Sohar this month and next since the East-West Pipeline was attacked on 13 September, halting Red Sea exports from Yanbu. Saudi crude exports via Hormuz were on track to rebound to 3.6 mbpd in September from about 900 kbpd in August, Kpler data showed. The figures point to a Kingdom that has successfully used alternative routes and storage to keep supplying the market, with September shipments the highest since the war began — suggesting limited damage to fiscal revenues during the month, and possibly a boost given the elevated price environment. (Reuters)
- France and the UK committed limited forces to defend Saudi Arabia.
France will send troops, radar systems and defence equipment to protect Yanbu, with President Emmanuel Macron saying Paris's goal is not to get involved in any conflicts but to protect the site. The UK is offering narrower support: a single Royal Air Force Voyager providing defensive air-to-air refuelling for a limited period expected to last several weeks, with Prime Minister Andy Burnham tying the role to protecting oil flows and keeping a lid on the UK's cost of living. Defence chiefs from Saudi Arabia, Pakistan and Turkey met in Riyadh on Friday without producing new commitments beyond the Makkah pact's existing terms, though Turkish parliament speaker Numan Kurtulmus said it could eventually grow into a broader bloc that might even include Iran. Exchanges have not slowed: Saudi air defences intercepted six missiles fired toward Taif and Yanbu, two drones aimed at Riyadh and a missile at Khamis Mushait since Thursday, while the Kingdom struck Taiz, Amran, Marib and Saada, taking Saudi strikes past 1,000 since the escalation began. (Reuters, Financial Times)
- Trump rejected Iran's proposed seven-day ceasefire and expects bombing to resume after the midterms.
Under the proposal, Iran would have reopened the Strait of Hormuz and restarted nuclear talks in exchange for Washington lifting its blockade on Iranian ports, unfreezing some assets and easing sanctions on oil exports, the Wall Street Journal reports citing US officials. Washington sees less urgency as tanker traffic through Hormuz rises, while Tehran wants terms close to June's agreement. Iranian Foreign Minister Abbas Araqchi said mediators have not officially passed along a US rejection despite Trump's public comments, and Tehran has signalled that meeting its conditions and continuing negotiations is the only path to reopening the strait. (Wall Street Journal, Reuters)
- Washington and Beijing agreed to cut more than USD 30 bn of tariffs in both directions.
The reductions cover non-sensitive goods, including US exports of farm goods, wood and cosmetics and imports of small appliances, toys and decorations, according to a White House fact sheet issued during a Chinese state visit. The two sides also agreed to establish an investment board to discuss opportunities and challenges, and to schedule a dialogue on AI risks and benefits in November. (White House)
